In response to requests from stakeholders seeking relief from additional fees, the MCA has declared that no extra charges will be imposed until March 15, 2022, for the submission of all AOC-4 e-forms. Furthermore, no additional fees will be applicable until March 30, 2022, for filing Form MGT-7/MGT-7A.

Financial Statement Filing Requirements for Private Limited Company in India:

  • General Companies: All companies registered in India, as per the Companies Act, 2013, must file their financial statements within 30 days of holding their annual general meeting (AGM). These statements must be approved at the AGM.
  • One Person Companies (OPCs): OPCs, due to their single-member structure, don’t have AGMs. Therefore, they must file their financial statements within 180 days of the financial year’s end, with the approval of the sole member.
  • Companies Missing AGMs: If a company misses its annual general meeting for any given year, they must still file their financial statements, along with any required documents, within 30 days of the last date the AGM should have been held. Additionally, they need to submit a statement explaining the reasons for not holding the meeting.

Revised Due Date Extension for MCA eforms for Filing AOC-4

The revised due dates for filing AOC-4 depend on the type of company and the financial year in question. 

For Financial Year 2022-23 (ending March 31, 2023):

  • One Person Company (OPCs) and companies covered under XBRL filing requirements: Due date was September 27, 2023.
  • Other companies: Due date was October 29, 2023.

For subsequent financial years:

  • OPCs: Due date is 180 days from the financial year end.
  • Other companies: Due date is 60 days from the Annual General Meeting (AGM).
  • If the AGM for a company hasn’t been held, the AOC-4 along with an explanation for the non-holding of the AGM must be filed within 30 days of the last date by which the AGM should have been held.
  • Late filing penalties are applicable for non-compliance with the due dates.

What is MGT-7?

MGT-7 is a form used by companies (except One Person Companies and small companies) registered under the Companies Act, 2013 to file their annual return with the Registrar of Companies (ROC). This return includes information about the company’s finances, operations, and management for the previous financial year, similar to the requirements for the registration of company online.

What is Fees for Filing MGT-7?

The fees for filing MGT-7 depend on the nominal share capital of the company:

  • No share capital: Rs. 200
  • Share capital between Rs. 1 lakh and Rs. 4.99 lakhs: Rs. 300

  • Share capital between Rs. 25 lakhs and Rs. 99.99 lakhs: Rs. 500
