Condonation of Delay in LLP Forms Filing: MCA Circular

Learn about the MCA's LLP Amnesty Scheme, which offers relief to LLPs for late filing of critical forms. Discover key features and learn how to leverage this opportunity.

Introduction

In a bid to facilitate ease of doing business and address the challenges faced by Limited Liability Partnerships (LLPs) in India, the Ministry of Corporate Affairs (MCA) has introduced a game-changing initiative: the LLP Amnesty Scheme.

This scheme, outlined in the MCA’s General Circular No. 08/2023 dated August 23, 2023, provides a unique opportunity for LLPs to rectify past filing lapses without incurring excessive penalties. Let’s delve into the details of this scheme, its features, and how it can benefit your LLP.

Understanding the LLP Amnesty Scheme

The LLP Amnesty Scheme is designed to condone the delay in filing specific LLP forms, including –

  • Form-3 (LLP Agreement and changes therein)
  • Form-4 (Notice of appointment, cessation, change in name/address/designation of a designated partner or partner and consent to become a partner/designated partner), and
  • Form-11 (LLP Annual Filing)

This scheme comes as a relief for numerous LLPs who have encountered difficulties in filing these forms for various reasons, including data discrepancies in the Ministry’s electronic registry.

Key Features of the LLP Amnesty Scheme

To grasp the significance of this scheme, it’s crucial to understand its salient features:

  1. Condonation of Delay:

LLPs can benefit from a one-time relaxation in additional fees for late filing of Form-3, Form-4, and Form-11. This means that LLPs get a chance to rectify past non-compliances without facing hefty penalties.

  1. Straight Through Process (STP) Mode:

Forms 3 and 4 will be processed under the Straight Through Process (STP) mode for most purposes, except for changes in business activities. This expedited processing ensures quicker approvals and updates.

  1. Sequential Filing:

Stakeholders are advised to file these forms sequentially, starting with older event dates and progressing to more recent ones. This approach helps update master data systematically.

  1. Pre-filled Data:

When filing these forms, pre-filled data based on the existing master data of the LLP company will be provided. However, stakeholders have the flexibility to edit this data. It’s crucial to ensure accurate information to avoid any legal repercussions.

  1. Applicable Dates:

The LLP Amnesty Scheme covers event dates from January 01, 2021, onwards. For events preceding this date, LLPs can file these forms with additional fees, which are detailed below.

  1. Filing Window:

Forms 3, 4, and 11 can be filed under this scheme from September 01, 2023, to September 30, 2023, both dates inclusive.

  1. Non-Liability for Delay:

LLPs availing the scheme will not face any adverse actions or penalties for the delayed filing of Forms 3, 4, and 11.

LLP Amnesty Scheme 2023: Additional Fee Structure

For events dated prior to January 01, 2021, LLPs can file Forms 3 and 4 with the following additional fees:

  • Small LLPs: 2 times the normal filing fees
  • Other than small LLPs: 4 times the normal filing fees

For Form-11, pertaining to previous financial years (before the financial year 2021-22), the additional fees are structured as follows:

  • Small LLPs: 2 times the normal filing fees
  • Other than small LLPs: 4 times the normal filing fees

How to Leverage the LLP Amnesty Scheme

Taking advantage of the LLP Amnesty Scheme is a straightforward process. Here’s a step-by-step guide:

Gather Information: Ensure you have all the necessary details and documents related to the forms you intend to file, similar to the requirements for online company registration in India. This includes the LLP Agreement, details of designated partners, and annual financial information.

Sequential Filing: Get assistance from LLP experts from Vakilsearch and file the forms sequentially, starting with older event dates and working your way up.

Pre-filled Data: Review the pre-filled data provided in the forms based on your existing master data. Make any necessary edits to ensure accuracy.

Payment: Pay the applicable fees for filing the forms. Small LLPs and other than small LLPs have different fee structures for late filing, so be sure to calculate the correct amount.

File Within the Window: Ensure that you submit the forms between September 01, 2023, and September 30, 2023, to avail of the benefits of the LLP Amnesty Scheme.

The Takeaway

The LLP Amnesty Scheme introduced by the MCA is a significant relief for LLPs grappling with delayed filings and data discrepancies. It provides a golden opportunity to regularize your compliance and update master data accurately.

By following the scheme’s guidelines and leveraging this one-time relaxation, LLPs can ensure smooth operations and stay on the right side of the law. For assistance, reach out to the experts at Vakilsearch right away!
