How to Register a Company in Hyderabad

Step 1: Get Legal Advice

First and foremost, the entrepreneurs must meet with a legal expert and explain all their requirements to them. The legal team will then advise the entrepreneurs on the best incorporation strategy, along with what structure to incorporate as. They will also help understand what other licenses, certifications, and registration they will have to complete to start their operations in Hyderabad.

Step 2: Name Approval

Once the team is aware of what structure they want to incorporate, they must go through company naming guidelines. Afterwards, they must decide on what they want their company to be called. Entrepreneurs are allowed to send up to six options with the company name registration form. The Registrar of Companies will check the availability of the names suggested and choose the most appropriate one that is available.

Step 3: DSC and DIN

The directors will have to apply for and obtain a Digital Signature Certificateand Director Identification Number. Further, both of these documents will help them identify themselves and authorise online filings that the company makes. Since the process of company incorporation takes place entirely online, directors will need these to validate documents and licenses. All directors must apply for and obtain either a DSC for added security. 

Step 4: MoA and AoA

Afterwards, the entrepreneurs have to meet with the legal expert again to draft the required legal documents. This will involve creating a Memorandum of Association and Articles of Association in the prescribed format. Additionally, the subscriber must digitally sign these documents for authorisation and validation.

Step 5: Filing for Incorporation

Once all the documents are in order, the team can file for incorporation via the SPICe portal by uploading all the required documents and paying the processing fees. The RoC will then verify all the details and documents provided, and if satisfied, will grant the business a Certificate of Incorporation. The company will also receive a Corporate Identity Number (CIN) which will help it file returns and other documents.

  1. Form DIR-3 for DIN approval
  2. INC-32 to register the name of the company
  3. INC-33 e-Memorandum of Association
  4. INC-34 e-Articles of Association
  5. Proof of address of the business

Personal documents:

  1. ID proof and address proof of all directors
  2. PAN card of directors
  3. Two passport-size photographs
