Company registrations in India are governed by the Companies Act 2013, under the Ministry of Corporate Affairs (MCA). The cost of registering a company in India differs depending upon the types of business entities – Private Limited, LLP, One Person, Producer Company, etc. 

In this article, let’s have a look at the government fees for company registration in India.

Section 403 of the Companies Act, 2013

Under Section 403 of the Companies Act, 2013 the documents that are submitted and filed for information required to be registered under the Act shall be submitted within the time specified in the provision on payment of fees as prescribed here. 

The cost of registering Small Companies and One Person Companies having share capital:

  • When the nominal share capital is within Rs 10,00,000 – Rs 2,000
  • When the nominal share capital is more than Rs 10,00,000 and within Rs 50,00,000 – Rs 200 for every Rs 10,000 or part thereof nominal share capital.
  • When the nominal share capital is more than Rs 50,00,000 and is within Rs 1 crore – Rs 1,56,000. But Rs 100 will be added for every Rs 10,000 thereof.
  • When the nominal share capital is more than Rs 1 crore – Rs 2,06,000 wherein Rs 75 will be added for every Rs 10,000 thereof subject to a max. of Rs 250 crore.

The cost of registering companies other than One Person Companies and Small Companies having share capital:

    • When the nominal share capital is within Rs 1,00,000 – Rs 5,000
    • When the nominal share capital is within the range of Rs 1,00,000 and Rs 5,00,000 – Rs 400 for every Rs 10,000 or thereof.
    • When the nominal share capital is more than 5,00,000 and within 50,00,000 – Rs 300 for every Rs 10,000 or thereof
    • When the nominal share capital is between Rs 50,00,000 and Rs 1 crore – Rs 100 for every Rs. 10,000 or thereof.
    • When the nominal share capital is more than 1 crore and within Rs  – Rs 75 for every Rs 10,000 and thereof.

Cost of registering companies with no share capital: 

  • For registering companies whose number of members (as stated in AoA) is within 20 – Rs 2,000
  • For registering companies whose number of members (as stated in AoA) is more than 20 – Rs 5,000
  • For registering companies whose number of members (as stated in AoA) is more than 200 but is not stated to be unlimited – Rs 5000 plus an additional fee of Rs 10 for every member after first 200.
  • For registering companies whose number of members (as stated in AoA) is unlimited – Rs 10,000

Documenting, submitting, registering or recording fee for documents with ROC

For companies with share capital

  • The company registration charge for an organization whose nominal share capital is limited to 1,00,000 – Rs 200.
  • The fees for an organization whose official share capital adds up to Rs at least 1,00,000 yet is constrained to not as much as Rs 5,00,000 – Rs 300.
  • The company registration charge for an organization whose official share capital adds up to Rs at least 5,00,000, however, is restricted to not as much as Rs 25,00,000 – Rs 400.
  • The company registration expense for an organization whose official share capital adds up to Rs at least 25,00,000, however, is constrained to not as much as Rs one crore – Rs 500.
  • The company registration expense for an organization whose official share capital adds up to Rs 1 crore or more – Rs 600.

 For companies without share capital

  • The online company registration charge for organizations without share capital is set at Rs 200, regardless of their turnover.
